Legal Agreement for IMFARA Services & Website

These Terms of Use (“Terms,” “Agreement,” or “ToU”) constitute a binding legal agreement between you (“User,” “you,” or “your”) and IMFARA INCORPORATION (“IMFARA,” “we,” “us,” “our,” or “Company”) regarding your access to and use of our websites, services, products, and platforms.

1. Acceptance of Terms

Agreement to Terms

By accessing, browsing, or using any IMFARA website, application, or service—including but not limited to imfara.com, imfarainteriors.com, healthyou.club, and ismailcreations.com—you acknowledge that you have read, understood, and agree to be bound by these Terms of Use.

Eligibility

By using IMFARA services, you represent and warrant that:

IMFARA grants you a non-exclusive, non-transferable, revocable license to:

Restrictions on Use

You agree NOT to:

  • Modify, copy, reproduce, or distribute IMFARA content without written permission

  • Attempt to reverse-engineer or hack IMFARA systems
  • Transmit viruses, malware, or harmful code

3. Intellectual Property Rights

IMFARA Ownership

All content on IMFARA websites and services, including but not limited to:

  • Text, graphics, logos, images, and videos
  • Website design and layout
  • Software code and applications
  • Trademarks and service marks
  • Proprietary methodologies and processes
  • Published materials and documents

…are the exclusive property of IMFARA INCORPORATION or our licensors and are protected by international copyright, trademark, and intellectual property laws.

User-Generated Content

Your Submissions: If you submit content to IMFARA (comments, feedback, suggestions, documents), you grant IMFARA a perpetual, royalty-free, non-exclusive license to use, reproduce, modify, and distribute such content.

Ownership: You retain ownership of your user-generated content, but authorize IMFARA to use it without compensation.

Responsibility: You are solely responsible for content you submit and warrant that:

  • You own or have rights to the content
  • Content does not violate anyone’s rights
  • Content is not defamatory, obscene, or illegal

  • Project timelines and budgets are subject to change based on unforeseen circumstances

5. User Accounts & Security

Account Creation

If you create an account with IMFARA, you agree to:

  • Provide accurate and current information
  • Maintain confidentiality of your login credentials
  • Accept responsibility for all activities under your account
  • Notify IMFARA immediately of unauthorized access
  • Update account information as needed

Account Responsibility

You are entirely responsible for:

  • All activity and communications from your account
  • Maintaining the confidentiality of your passwords
  • Preventing unauthorized access to your account
  • Compliance with these Terms through your account

IMFARA is not liable for any unauthorized access to your account due to your negligence or failure to protect your credentials.

Account Termination

IMFARA may suspend or terminate your account immediately if:

  • You breach these Terms
  • You engage in illegal activities
  • You violate applicable laws
  • You misuse IMFARA services
  • IMFARA discontinues the service

 

6. Payment Terms & Billing

Pricing & Fees

  • IMFARA reserves the right to modify prices with notice
  • All prices are subject to applicable taxes
  • Fees for services will be clearly stated before purchase

Payment Methods

  • Accepted payments: Bank transfer, credit/debit card, wire transfer, check
  • Payment information must be accurate and up-to-date
  • IMFARA uses secure payment processors

Refund Policy

Refund eligibility depends on the service type:

  • Consultancy Services: Non-refundable upon engagement
  • Construction/Design: Refundable per project contract terms
  • Healthcare Services: Subject to provider policies
  • Software/SaaS: Per subscription terms and conditions
  • CSR Donations: Non-refundable

Invoicing & Payment Terms

  • Standard payment terms: Net 30 days from invoice date
  • Late payments subject to 1.5% monthly interest
  • IMFARA may suspend services for non-payment
  • Legal fees for collection may be charged to delinquent accounts

 

7. Limitation of Liability

Disclaimer of Warranties

IMFARA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability or fitness for particular purpose
  • Non-infringement of third-party rights
  • Accuracy, completeness, or timeliness of content
  • Uninterrupted or error-free service

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IMFARA’s total liability shall not exceed fees paid in the 12 months preceding the claim
  • IMFARA is not liable for indirect, incidental, special, or consequential damages
  • IMFARA is not liable for lost profits, revenue, data, or business opportunity
  • This limitation applies regardless of the cause of action (contract, tort, negligence, etc.)

Exceptions

These limitations do not apply to:

  • Death or personal injury caused by IMFARA’s gross negligence
  • Fraud or intentional misconduct
  • Claims that cannot be legally limited

 

8. Indemnification

You agree to indemnify, defend, and hold harmless IMFARA and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your breach of these Terms
  • Your use of IMFARA services
  • Your violation of applicable laws
  • Your infringement of third-party rights
  • Your user-generated content
  • Your actions or omissions
  • Claims by third parties related to your use

 

9. Third-Party Links & Services

External Links

IMFARA websites may contain links to third-party websites and services. We are not responsible for:

  • Content, accuracy, or legality of third-party sites
  • Third-party privacy practices or security
  • Third-party products or services
  • Links to IMFARA from third-party sites

 

Third-Party Services

IMFARA may partner with third parties for service delivery. You acknowledge that:

  • Third parties provide certain services under their own terms
  • IMFARA is not liable for third-party performance
  • Review third-party terms before using their services

 

10. Confidential Information

Confidentiality Obligations

Both parties agree to maintain confidentiality of:

  • Business plans and financial information
  • Proprietary methodologies and processes
  • Client lists and contact information
  • Non-public data and documents
  • Strategic plans and negotiations

 

Exceptions

Confidential information does not include information that is:

  • Publicly available
  • Already known without confidentiality restrictions
  • Independently developed
  • Required to be disclosed by law

 

11. Dispute Resolution & Governing Law

Governing Law

These Terms are governed by the laws of Bangladesh and the Dhaka District, without regard to conflict of law principles.

Dispute Resolution Process

Step 1: Good Faith Negotiation
Parties will attempt to resolve disputes through good faith discussions within 30 days.

Step 2: Mediation
If unresolved, parties agree to non-binding mediation in Dhaka, Bangladesh.

Step 3: Arbitration
If mediation fails, disputes shall be resolved through binding arbitration under Bangladesh Arbitration Act, 2001, with:

  • Single arbitrator (unless claim exceeds 10 lakh BDT)
  • Proceedings in Dhaka, Bangladesh
  • English language proceedings
  • Arbitrator’s decision is final and binding

Jurisdiction

For any legal proceedings, both parties consent to the exclusive jurisdiction of courts in Dhaka District, Bangladesh.

Class Action Waiver

You agree not to participate in class actions, class arbitrations, or representative actions against IMFARA. All claims must be brought individually.

 

12. Modifications to Terms

Right to Modify

IMFARA reserves the right to modify these Terms at any time.

Notice of Changes

  • Significant changes will be communicated via email or website notice
  • Continued use constitutes acceptance of modified Terms
  • Your rights to terminate may apply to material changes

 

Effective Date

Modifications become effective upon posting unless otherwise stated.

 

13. Termination

Termination by User

You may terminate your account and services by:

  • Submitting written notice to imtiaz@imfara.com
  • Deleting your account through account settings
  • Ceasing all use of IMFARA services

 

Termination by IMFARA

IMFARA may terminate services immediately if:

  • You breach these Terms
  • You engage in illegal activities
  • You violate applicable laws
  • Service is discontinued
  • We cease operations

 

Effects of Termination

Upon termination:

  • Your license to use services ceases
  • You must return/destroy IMFARA materials
  • Payment obligations continue
  • Survival clauses remain in effect
  • IMFARA retains rights to your data per Privacy Policy

 

14. Survival

The following provisions survive termination:

  • Intellectual Property Rights
  • Limitation of Liability
  • Indemnification
  • Confidentiality
  • Dispute Resolution
  • Governing Law
  • Any payment obligations

 

15. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and remaining provisions continue in full force.

 

16. Entire Agreement

These Terms, along with our Privacy Policy and any executed service agreements, constitute the entire agreement between you and IMFARA regarding your use of services and supersede all prior agreements.

 

17. Waiver

IMFARA’s failure to enforce any provision does not constitute a waiver of that provision or any other provision. Enforcement is at IMFARA’s sole discretion.

  • Past performance does not indicate future results

 

Healthcare Services (Healthyou Club)

  • Medical services are provided by qualified healthcare professionals
  • You assume all health risks and medical liability
  • Consult physicians for medical decisions
  • IMFARA facilitates but does not provide direct medical care
  • Results vary by individual and cannot be guaranteed
  • Cancellation policies apply per booking terms

 

Construction & Design (IIA)

  • Construction timelines subject to change
  • Final results may differ from designs
  • Additional costs may apply for change orders
  • Compliance with building codes required
  • Weather and circumstances beyond control may impact schedules

 

Software & Technology Services

  • Software provided “as-is” without warranties
  • IMFARA not liable for data loss
  • Regular backups are user’s responsibility
  • Service may be interrupted for maintenance
  • Support availability subject to service level agreement

 

CSR Services (Ismail-Nasra Foundation)

  • Donations are non-refundable
  • Funds used as specified or similar charitable purposes
  • Tax deduction eligibility per applicable law
  • Foundation operates in accordance with NGO regulations
  • Beneficiary information protected per privacy laws
